These Terms & Conditions(“Terms”) constitute a legally binding agreement between Signalynx Data Technologies Ltd, DBA Intentrack.ai (“Company”, “we”, “us”, “our”) and any person or entity accessing or using the Services (“User”, “you”).
1. Definitions
1.1 “Services” means the provision of intent signal intelligence, SaaS subscriptions, consulting, and related deliverables via the Intentrack.ai platform.
1.2 “Subscription” means any recurring paid plan selected by the User.
1.3 “User Data” means data provided, uploaded, or generated by the User in connection with the Services.
2. Acceptance
By accessing or using the Services, the User confirms acceptance of these Terms. If the User does not agree, the Services may not be accessed or used.
3. Account Registration
3.1 Users must provide accurate registration details and maintain account security.
3.2 Users remain responsible for activity conducted under their account credentials.
4. Fees, Payments, and Refunds
4.1 Fees are payable in advance as per pricing plans published.
4.2 Payments are processed via third-party providers and subject to their terms.
4.3 Subscriptions automatically renew unless cancelled prior to renewal date.
4.4 No refunds are provided under any circumstances.
5. Permitted Use
5.1 The User shall not:
- Use the Services for unlawful or fraudulent purposes;
- Resell, sublicense, or distribute signals or data;
- Reverse engineer or attempt to extract proprietary algorithms;
- Interfere with platform security or disrupt Services.
6. Intellectual Property
6.1 All intellectual property,including software, databases, algorithms, trademarks, and signals, remains the exclusive property of the Company.
6.2 The User is granted anon-exclusive, revocable, non-transferable license for internal business purposes only.
7. Service Availability
The Services are provided “as is ”and “as available.” No warranty is given as to uninterrupted availability, error-free operation, or accuracy of signals.
8. Beta Features
Any beta or trial features are provided without warranty and may be modified or withdrawn at any time.
9. Indemnification
The User agrees to indemnify and hold harmless the Company against any claims, damages, or liabilities arising from misuse of the Services, violation of law, or infringement of third-party rights.
10. Limitation of Liability
10.1 The Company shall not be liable for indirect, consequential, or incidental damages.
10.2 Aggregate liability shall not exceed the total fees paid by the User in the 12 months preceding the claim.
11. Force Majeure
We shall not be liable for failure to perform obligations due to events beyond reasonable control, including natural disasters, network failures, or government actions.
12. Termination
12.1 The Company may suspend or terminate Services for breach of these Terms.
12.2 Upon termination, all rights granted to the User shall cease.
13. Modifications
We reserve the right to amend these Terms at any time. Continued use of Services constitutes acceptance of revised Terms.
14. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between the parties and supersede all prior representations.
15. Governing Law and Jurisdiction
These Terms shall be governed exclusively by the laws of Hong Kong. Any dispute shall be submitted to the exclusive jurisdiction of the courts of Hong Kong.
16. Marketing &Communications Consent
16.1 By accessing or using the Services, completing any online form, or digitally signing any trial or subscription request on the Intentrack.ai website, the User hereby provides the Company with explicit, informed consent to:
- Collect, process, and use User Data for the purposes of marketing, advertising, promotions, newsletters, product announcements, and sales offers;
- Send such communications directly to the User and/or to other recipients within the User’s company domain that the User has provided or that is reasonably associated with the User’s business email domain.
16.2 The User acknowledges and agrees that such communications may include promotional content relating to Intentrack.ai or its affiliates and may be delivered via email, in-platform notifications, or other digital means.
16.3 If the User or their organization does not wish to receive such communications, the User may withdraw consent at any time by sending a written request to support@intentrackai.com.Upon receipt of such request, the Company will take reasonable steps to update its records and cease marketing communications to the extent required by applicable law.
16.4 The User further acknowledges that until such opt-out request is expressly received and processed, the Company and its representatives shall be entitled to rely on this consent and shall not be held liable for the dissemination of such communications.
